It's said that success is a journey, not a destination.
And it’s never achieved alone.
Since 2000, International Capital Group has helped companies and shareholders all over the world access the capital they need to achieve their financing goals. When it comes to creating customized capital solutions that meet your unique needs, no other company can match our expertise, global reach, flexibility and streamlined process to close the deal quickly.
Experience has taught us that trust and transparency are the building blocks of a strong relationship. Whether you're an early-stage or established public company or an individual shareholder, ICG can work with you every step of the way to make sure you’re never alone on your journey to success.
Convertible Debt
We have convertible debt solutions for small and micro-cap publicly traded companies. Our flexible approach and fully customizable terms ensure an optimal solution is found for every situation.
Bridge Loans
A short-term loan that is used until the borrower secures permanent financing or removes an existing obligation. This type of financing allows the borrower to meet current obligations by providing immediate cash flow. The loans are short-term with relatively high interest rates and backed by some form of collateral.
Mezzanine Financing
A hybrid of debt and equity financing that is typically used to finance the expansion of existing companies. Mezzanine financing is basically debt capital that gives the lender the rights to convert to an ownership or equity interest in the company if the loan is not paid back in time and in full. It is generally subordinated to debt provided by senior lenders such as banks and venture capital companies.
Since mezzanine financing is usually provided to the borrower very quickly with little due diligence on the part of the lender and little or no collateral on the part of the borrower, this type of financing is aggressively priced with the lender seeking a return in the 20-30% range.
PIPEs
When you cannot access financing or traditional equity market alternatives, we can execute a PIPE transaction, in which we will purchase your securities to the current market value in order to raise capital. We offer both traditional and structured PIPE solutions.
Block Trades
Our team of skilled traders can work with you or your company to handle shares being traded at a discounted price, outside of the open markets, to lessen the negative impact of a large trade on a company's stock price.
Securities Loans
Lending against securities is our business. Since 2000, we have helped companies and shareholders all over the world access the capital they need to achieve their financing goals. Whether you’re looking to raise capital to pay down a debt, make an alternative investment, leverage your existing one, or simply take some capital off the table as a hedge against unforeseen events, we can structure a loan for you. You can get the cash you need today while still retaining the upside potential in your investments for tomorrow.
Our approach to lending allows borrowers the flexibility of gaining needed liquidity at a reasonable cost and without sacrificing potential upside. Loans can be structured both interest-only and non-recourse, so you have the option of walking away at any time with no further liability. Each loan is customized around the borrowers needs, not our own.
Medium Term Loans
Our medium-term loans provide the capital you need fast, and offer funding against Listco shares not serviced by banks and brokerage firms. Shares are held as collateral, giving the borrower the benefit of meeting today’s capital needs without having the near-term obligation, as well as be able to plan and execute longer-range objectives:
- Fully customizable
- 6, 12 or 18 month terms
- No pre-pay penalties
- LTVs from 30-50%
- Ideal for small- and mid-cap companies
- Shares are not sold or traded
- Voting rights are maintained
