Convertible Debt

We have convertible debt solutions for small and micro-cap publicly traded companies. Our flexible approach and fully customizable terms ensure an optimal solution is found for every situation.

Bridge Loans

A short-term loan that is used until the borrower secures permanent financing or removes an existing obligation. This type of financing allows the borrower to meet current obligations by providing immediate cash flow. The loans are short-term with relatively high interest rates and backed by some form of collateral.

Mezzanine Financing

A hybrid of debt and equity financing that is typically used to finance the expansion of existing companies. Mezzanine financing is basically debt capital that gives the lender the rights to convert to an ownership or equity interest in the company if the loan is not paid back in time and in full. It is generally subordinated to debt provided by senior lenders such as banks and venture capital companies.

Since mezzanine financing is usually provided to the borrower very quickly with little due diligence on the part of the lender and little or no collateral on the part of the borrower, this type of financing is aggressively priced with the lender seeking a return in the 20-30% range.

PIPEs

When you cannot access financing or traditional equity market alternatives, we can execute a PIPE transaction, in which we will purchase your securities to the current market value in order to raise capital. We offer both traditional and structured PIPE solutions.

Contact Brian:

As one of the company's founders, Managing Partner, and CEO Brian’s responsibilities include developing and implementing high-level strategies, making major corporate decisions, managing the overall operations and resources of a company, and acting as the main point of communication between the global management team. Brian also heads the underwriting and investment committee.

Since inception Brian has designed ICG's trading platforms, credit and hedging instruments, investment philosophy, and transaction partnerships.

Brian has facilitated hundreds of investment transactions around the globe and is a leading expert on corporate structure, finance and share management for global small cap issues. His key relationships coupled with his knowledge of innovative hedging strategies are providing powerful managed portfolio risk analysis and broadening the scope of financing and investment decisions available to ICG's global clients.

Prior to ICG, Brian was a leading investment banker and head of the Chicago branch of ACAP Financial, a boutique investment firm. ACAP specialized in debt and equity financing of small and micro-cap securities and high net-worth individual asset management with a focus on alternative investments.

Brian graduated from Illinois State University with degrees in Finance & Business Administration and currently resides just outside of Chicago with his wife and children.

As one of the company’s founders and Managing Partner, Larry helped to establish ICG as first among structured securities financing institutions. Larry currently manages the day-to-day business operations, strategic partnership development, and oversees the high-level global network channel. Larry is also a member of the underwriting and investment committee.

Prior to launching ICG, Larry was Director of Business Development for a private equity firm specialized in asset-backed lending for small and mid-cap companies worldwide. Larry began his financial career at Fidelity Finance, a residential and commercial real-estate firm specializing in real-estate acquisitions and mortgage banking. Since the mid-1990s, Larry has been focused on direct marketing, sales channel and customer relationship management, communications, and various operational functions.

Larry resides with his family outside Indianapolis, Indiana.

Contact George:

As President, George's responsibilities include the day-to-day operations in Hong Kong and Seoul as well as developing high-level strategies designed specifically for Asian markets. George oversees the global trading platform and all credit facilities along with developing customized hedging solutions and products. George also serves on the underwriting and investment committee.

As a Certified Public Accountant in Hong Kong, George has more than 20 years experience in accounting, audit and taxation. Before starting his own practice, he spent eight years with KPMG in Hong Kong, during which time he was the in-house specialist for the retail and banking verticals. He has also assisted numerous PRC corporations in both IPO and pre-IPO financings.

George is a Fellow of the Hong Kong Institution of Company Secretaries and resides in Hong Kong with his wife.

Contact Tom:

Thomas is the Chief Compliance Officer for International Capital Group. He is an experienced financial service professional who currently advises on complex strategic, regulatory and compliance issues. Thomas is focused on BSA, FSA, SEC, FINRA, and Dodd-Frank regulatory issues. Prior to working with ICG Thomas was a commodity and equity trader with more than 20 years of pit and screen experience managing risk and portfolios. Thomas has been a member of the Chicago Board of Trade, Exchange, and other exchanges for several proprietary trading firms. A specialist in options, futures, equities, and risk management, Thomas has managed traders, established a broker-dealer joint back office, developed a fully integrated proprietary trading operations and served as an anti-money laundering officer.

Thomas received the Certified Regulatory Compliance Professional (CRCP) certificate from FINRA through The University of Pennsylvania, Wharton Business School. He earned his B.A. in Economics from Loyola University Chicago. He is an approved securities industry arbitrator for FINRA Dispute Resolution’s Arbitration Program and he currently holds a Series 3 License.

As Chief Business Development Officer Michael has a broad and comprehensive knowledge of all matters related to the business of the organization with an eye towards identifying new sales prospects and driving business growth and requirements for global product development that is coordinated with R&D functions. Michael has helped build and maintain high-level contacts with current and prospective partners.

Previous to ICG Michael worked as a financial representative at Northwestern Mutual. During his tenure there, he achieved the company’s Bronze, Silver, Gold and Platinum performance awards. International Capital Group to Launch New Website

Chicago February 15, 2013 - International Capital Group is proud to announce it will be unveiling a new website at InternationalCapitalGroup.com. The launch is scheduled to take place in about two weeks. Current and prospective customers across the globe will have access to essential information about ICG’s products and solutions.

The website was created with the user experience in mind. Its sleek, one-page design allows user's to access a bevy of information with one swift scroll motion. The company is currently in the process of launching phase two of the site, which will include pages translated to Chinese, Korean and French.

"Our goal was to create a website that reflects our corporate identity and allows the user to find exactly what they are looking for. With the new design, we have definitely achieved both goals," said Brian Nord, Founder and Chairman of ICG.

International Capital Group Relocates Its Hong Kong Office

Hong Kong February 8, 2013 – As a result of its ongoing growth, International Capital Group has moved to a new location in the Fairmont House office building located in Central, Hong Kong. The company's new space is double the square footage of their last office.

“We are excited to make the new space in Fairmont House home. It is at the hub of Hong Kong’s business district, so we feel we really belong here,” says George Fong, Managing Partner at ICG.

International Capital Group Expands to South Korea

Chicago February 1, 2013 - International Capital Group is proud to announce the establishment of a third office in South Korea. Since the opening of an office in Hong Kong three years ago, the company has been able to create successful partnerships with those in the Asian markets, and the new location will only continue to help such endeavors. With residence in South Korea, the company will be able to close loans in the local currency.

"We are very excited about our most recent expansion to South Korea. I believe our new office will allow us to better service our clients and engage in new business," said Brian Nord, Founder and Chairman of ICG.

Jennifer began her career with KPMG Peat Marwick, accumulating invaluable experience working directly with Fortune 500 clients in the financial services arena. Subsequently, she has been part of the financial teams for some of Chicago's wealthiest and most successful business people including Sam Zell (Equity Group Investments) and the Pritzkers (The Pritzker Group). Jennifer has a diverse industry background, providing controllerships for multi-national companies headquartered in the Chicagoland area. She has had the pleasure of helping a number of businesses implement and develop strong financial infrastructures, especially during operational expansion and growth.

As a certified public accountant with a specialization in taxes, Jennifer has also founded and operated a thriving tax practice while offering business consulting services to small business entrepreneurs.

With a bachelor's degree in Public Accounting from Loyola University, she has also studied music performance at Indiana University (Bloomington). As an active animal rights advocate, she volunteers her time with local shelters and the ASPCA, working to provide education and training for anyone who cares for animals. She is an avid supporter of Noah's Wish, an animal welfare organization dedicated exclusively to rescuing and sheltering animals in disasters.

Issac has worked at a range of small- and medium-sized firms in greater China, and has +10 years of experience in finance, operations and accounting. Prior to joining ICG Asia, he was finance manager for the Hong Kong arm of a Chinese lending company. In that role, he served as the liaison between borrowers and the lender, controlled and operated loan procedures and oversaw collections.

Tae-Hyun has previously served on the executive management of public companies on both the Korean KOSPI (Trigem Computers Inc.) and American NASDAQ (Thrunet). His management of these companies included mergers, acquisitions and also debt financing for public & private companies. Chloe is actively involved in many different ad hoc projects related to different loan structures and logistics in various currencies.

Chloe obtained a bachelor's degree in business administration and a master’s degree in professional accounting. She is a member of the Hong Kong Institute of Certified Public Accountants and a fellow member of the Association of Chartered Certified Accountants.

Chloe has more than ten years' experience in accounting, administration and finance sectors for listed and private companies in Hong Kong and PRC.
